Terms of Service

1. Agreement

By accessing or using NightPanel ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

NightPanel provides infrastructure and business data monitoring through a cloud platform and Chrome Extension. The Service includes monitor configuration, automated checks, alerting, and historical data storage.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

4. Free Trial

New accounts receive a 14-day free trial of the Business plan. No credit card is required. After the trial period, you must subscribe to a paid plan to continue using the Service. Monitors will be paused (not deleted) if you do not subscribe.

5. Subscriptions & Billing

Paid plans are billed monthly or annually through Paddle. Prices are in USD. You may cancel at any time; the Service remains active until the end of the current billing period. We reserve the right to change pricing with 30 days' notice.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Use monitors to perform denial-of-service attacks or excessive load testing
• Attempt to gain unauthorized access to other users' data
• Reverse engineer the Service or Chrome Extension
• Resell the Service without written permission
• Exceed your plan's usage limits through automated means

7. Data Ownership

You retain ownership of your monitoring configurations and check data. We claim no intellectual property rights over your content. You grant us a limited license to store and process your data solely to provide the Service.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for downtime caused by third-party providers or force majeure events.

9. Limitation of Liability

The Service is provided "as is". We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability is limited to the amount you paid in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account for violations of these Terms. You may delete your account at any time. Upon termination, your data will be deleted within 30 days.

11. Changes to Terms

We may update these Terms with 30 days' notice via email. Continued use of the Service after changes constitutes acceptance of the new Terms.
